Welcome to Elegant Intelligence (Eligient). These Terms of Service ("Terms") govern your access to and use of our website, products, software, and services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.
Important: Eligient is an experimental Minimum Viable Product (MVP). The Services are provided "as is" for informational and drafting purposes only. They are not legal advice, legal representation, or a substitute for consulting a licensed attorney.
1. Definitions
"Input" means any content, data, or instructions submitted by you through the Services.
"Output" means any content, contracts, text, or materials generated by the Services.
"Customer Data" means any information, including personal data, provided by you while using the Services.
"Third-Party Output" means any content, data, responses, or materials provided, generated, or made available through Third-Party Services (such as AI models, plugins, or data providers) that are integrated with or accessed via the Services.
"Third‑Party Services" means software, data, APIs, or platforms provided by third parties and integrated with the Services.
"Confidential Information" means non‑public information disclosed by one party to the other under these Terms.
2. About Our Services
Eligient provides AI-powered legal solutions, including contract generation and review tools. While our platform is backed by a law firm, the Services do not constitute legal advice, legal representation, or a lawyer-client relationship.
All Output generated by the Services are for informational and drafting purposes only and do not qualify as legal advice.
3. No Legal Advice
The Services, including any Output, are not substitutes for professional legal, financial, or other regulated advice.
You acknowledge that using Eligient does not create any attorney-client relationship between you and Eligient or its affiliated law firm.
You are solely responsible for evaluating the suitability, accuracy, and legality of any Output before relying on or using it.
4. Eligibility & Age Requirement
By accessing or using Eligient, you represent and warrant that you are at least 18 years of age (or the age of majority in your jurisdiction, if higher). Eligient is not intended for, and may not be used by, individuals under the age of 18. If you are using Eligient on behalf of a company or other entity, you further represent and warrant that you have the authority to bind that entity to these Terms of Service.
5. Acceptable Use
You agree not to:
• Use the Services for unlawful, harmful, fraudulent, or misleading purposes.
• Violate third‑party rights (including intellectual property, privacy, or contractual rights).
• Reverse engineer, extract, or attempt to derive the models, algorithms, or source code.
• Use the Services to build or train competing AI systems.
• Introduce viruses, malware, or other harmful technology.
• Generate Output for decisions that may materially affect individuals in regulated areas (e.g. credit, housing, insurance, healthcare, or employment).
• Use or access the Services in violation of applicable export laws, sanctions, or restrictions.
Eligient reserves the right to suspend or terminate accounts engaged in prohibited uses.
6. Third-Party Services and Output
Our Services may incorporate or rely on Third-Party Services. Certain features may include Third-Party Output.
Third-Party Services and Third-Party Output are governed by their own terms and conditions. Eligient is not responsible for their accuracy, reliability, or performance.
Eligient shall not be held liable for any interruption, delay, inaccuracy, breach of security, misconduct, or failure of performance caused by Third-Party Services or Third-Party Output.
If any Third-Party Service or provider is found guilty of unlawful or negligent conduct, Eligient bears no responsibility for any resulting damages.
Your use of such services is at your own risk and subject to the third party's terms and policies.
By using our Services, you acknowledge and agree:
• Output may not always be accurate, complete, or up to date.
• You must independently evaluate Output for accuracy and appropriateness before use.
• You may not rely on Output relating to a person in ways that could materially or legally affect them, including decisions about credit, employment, housing, insurance, healthcare, or legal matters.
• Any references to third-party products or services do not imply endorsement or affiliation.
7. User Responsibilities
You agree to:
• Use the Services only for lawful purposes and in compliance with these Terms.
• Not misuse or attempt to interfere with the security, integrity, or performance of the Services.
• Ensure human oversight when using any Output generated through our Services.
Disclaimer: You understand and agree that Eligient shall not be responsible or liable for your reliance on any Output, your decisions or actions taken based on the Services, or for any consequences arising from your use or misuse of the Services.
8. Billing and Payments
If you purchase paid Services, you must provide accurate billing information, including a valid payment method. Subscription fees are charged automatically at each renewal period until you cancel. You are responsible for all applicable taxes.
If payment fails, we may suspend or limit your access until payment is resolved.
9. Cancellations and Refunds
You may cancel your subscription at any time through your account settings. Payments are non-refundable except as required by applicable law. Cancelling your subscription will stop future renewals but does not entitle you to refunds for prior payments.
10. Changes to Pricing and Services
We may update or change our pricing from time to time. Any price increases will take effect on your next renewal, and we will provide at least 30 days' notice so you may cancel if you do not agree.
We may modify, suspend, or discontinue any part of the Services at our discretion.
11. Termination and Suspension
We may suspend or terminate your account or access to the Services if:
• You breach these Terms or misuse the Services.
• Required by law or legal order.
• Your use creates risks or potential harm to Eligient, our users, or third parties.
You may stop using the Services at any time. If you believe your account was wrongfully suspended, you may appeal by contacting our support team.
12. Intellectual Property
All intellectual property rights in the Services (excluding content you provide) remain with Eligient and its licensors.
You may not:
• Copy, reproduce, resell, or commercially exploit any part of the Services or Output.
• Use Eligient's Services, Output, or content to create competing products or services.
• Sell, sublicense, or otherwise profit from the Output or content without prior written authorization.
Eligient grants you a limited, non-exclusive, non-transferable license to use the Output solely for your personal or internal business purposes. You grant Eligient a worldwide, royalty-free, non-exclusive license to use, store, reproduce, and analyze your Input to the extent necessary to provide, maintain, and improve the Services.
13. Advertising and Marketing
Eligient may contact you with promotional materials, offers, or advertisements relevant to our Services.
Communications may be delivered via email, platform notifications, or other lawful means.
You have the right to opt out of receiving marketing or advertising communications at any time by following the instructions provided in the message or updating your account preferences.
Eligient does not sell your personal data to third parties for marketing.
14. Client Privacy
You consent to Eligient collecting, using, and storing your personal information in accordance with our Privacy Policy. By using our Services, you acknowledge that you have read and agree to the terms of our Privacy Policy, which forms part of these Terms.
15. Disclaimer of Warranties
THIS WEB SITE, THE INTERACTIVE AREAS, THE CONTENT, AND POSTINGS ARE PROVIDED ON AN "AS IS, AS AVAILABLE" BASIS. ELIGIENT EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. ELIGIENT DISCLAIMS ALL RESPONSIBILITY FOR ANY LOSS, INJURY, CLAIM, LIABILITY, OR DAMAGE OF ANY KIND RESULTING FROM, ARISING OUT OF, OR ANY WAY RELATED TO (A) ERRORS OR OMISSIONS, (B) THIRD-PARTY COMMUNICATIONS OR OUTPUT, (C) THIRD-PARTY WEB SITES OR CONTENT, (D) UNAVAILABILITY OR INTERRUPTIONS, OR (E) YOUR USE OF THE SERVICES.
16. Limitation of Liability
ELIGIENT SHALL NOT BE LIABLE FOR ANY LOSS, INJURY, CLAIM, LIABILITY, OR DAMAGE OF ANY KIND RESULTING FROM YOUR USE OF THE SERVICES, INCLUDING THIRD-PARTY OUTPUT. ELIGIENT SHALL NOT BE LIABLE FOR ANY SPECIAL, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES. TO THE EXTENT THE FOREGOING LIMITATION OF LIABILITY IS PROHIBITED OR FAILS OF ITS ESSENTIAL PURPOSE, ELIGIENT'S MAXIMUM LIABILITY SHALL NOT EXCEED $100.00.
17. Indemnification
You agree to indemnify and hold harmless Eligient, its affiliates, officers, employees, and partners from any claims, damages, or expenses arising out of your use of the Services, your reliance on Output, or your violation of these Terms.
18. Feedback
Any feedback, suggestions, or ideas you provide may be used by Eligient without restriction or compensation.
19. Security
Eligient implements reasonable technical and organizational measures to protect data but cannot guarantee absolute security.
20. Governing Law and Dispute Resolution
These Terms are governed by the laws of Pakistan.
In the event of a dispute, the parties agree to first engage in good-faith negotiations for up to three (3) months. This negotiation period may be extended for additional three (3) month periods as often as both parties mutually agree in writing.
If the dispute is not resolved after negotiation(s), it shall be referred to final and binding arbitration under the rules of International Center for Appropriate Dispute Resolution and Prevention (ICADRP).
21. Changes to These Terms
We may revise these Terms from time to time. The updated Terms will be posted on our website, and continued use of the Services constitutes acceptance of the revised Terms.
22. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices, constitute the entire agreement between you and Eligient.
Severability: If any provision is held invalid, the remaining provisions remain enforceable.
No Waiver: Failure to enforce any right does not waive it.
Assignment: You may not transfer rights or obligations without consent. Eligient may freely assign its rights.
Force Majeure: Eligient will not be liable for delays caused by factors beyond its control (natural disasters, war, internet failures, government actions, etc.).
Survival: Confidentiality, indemnity, limitations of liability, and governing law survive termination.
Headings: Provided for convenience only and have no legal effect.
23. MVP Disclaimer and Data Use
You acknowledge and agree that the Services are currently offered as a MVP. As such:
• The Services may be incomplete, experimental, or contain errors, bugs, and limitations.
• Eligient makes no guarantees regarding the availability, accuracy, performance, or suitability of the Services at this stage.
• Eligient shall not be liable for any damages, losses, or claims arising from your use of the MVP.
• By using the Services, you consent to Eligient collecting and analyzing your usage data, inputs, and outputs for the purpose of research, product improvement, and enhancement of the MVP.
• Any data collected will be handled in accordance with our Privacy Policy
• You assume all risks associated with using the MVP.
